Board appoints new managers to lead Synergon

At its meeting on March 2nd 2006, the Board of Directors of Synergon Information Systems plc. decided to separate, in accordance with earlier plans, the General Manager and Group CEO functions, so far occupied by a single person: in addition to the position of General Manager of Synergon Information Systems plc., another official has been appointed CEO of the Synergon Group. The Board appointed Mr. Zoltán Radnóty and dr. Zsolt Tóth respectively CEO of the Synergon Group and General Manager of Synergon Information Systems plc. At the same time, the Board came to a mutual agreement with Mr. Loránt Száray on his termination of employment from the position of General Manager of Synergon Information Systems plc. with effect from April 18th 2006.

The Board of Directors of Synergon reviewed the situation arising in the wake of the separation of management positions at Group and operating company levels and re-defined the duties associated with the new functions. The new roles were clearly marked out and the expectations related to the new positions precisely defined.

The Board believes that the establishment and fulfilling of the new functions has been an important milestone in the operation of the Company. Evaluating the current situation, the Board concluded that the expectations defined require a new managerial approach for both functions and therefore decided that two new officials would simultaneously be appointed to the two positions. The Board appointed Mr. Zoltán Radnóty CEO of the Synergon Group with immediate effect and dr. Zsolt Tóth General Manager of Synergon Information Systems plc. with effect from April 18th 2006. At the same time came to a mutual agreement with the current CEO Loránt Száray on his termination of employment from April 18th 2006.

The Board of Synergon highly appreciates and thanks Mr. Lorant Száray for his efforts, which have resulted in a substantial improvement of the efficiency of the Synergon Group and some very important moves toward the regional integration of the Group. These results secure a stable fund to the Groups' further dynamic growth.

Of the new management structure and the independent Group leadership, Mr. Ferenc Czakó, the President of the Board, said the following: 'The establishment and fulfilling of the new functions has been an important milestone in the operation of the Company. At the same time, it is an indication of a significant shift of emphasis. During recent years, regional management has mostly meant the consolidation of the activities of the operating companies. In the future, our focus should be much rather be on the decisions targeting further growth and the dynamic management of the related processes.

The new managers are long acknowledged experts in their respective fields. As a member of the Board of Directors of Synergon, Zoltán Radnóty has gained an excellent overview and understanding of the current position of the Synergon Group and the challenges that need to be addressed. He is an outstanding financial and corporate specialist, having obtained extensive experience in the fields of corporate appraisal, corporate buyouts and foreign investments. He was a member of the boards of directors of several companies operating in various countries within the region for three years.
As the Chief Information Officer and managing director of the Hungarian subsidiaries of major multinational companies, dr. Zsolt Tóth has gained extensive experience in both corporate management and information technology issues. As GE's European Operations Services CIO, he was awarded the title 'CIO of the year' by the Association of Chief Information Officers in 2004.

Simultaneously with its personal decisions, the Board confirmed the strategy of the Synergon Group. With a view to becoming a leading system integration company within the region, Synergon will aim to achieve considerable growth both in an organic way and through continued acquisitions during the forthcoming period. Through the steady transformation of its income structure and the increasing of the efficiency of operation, it will continue to improve its profitability while the Group-level integration of the operating companies will also be carried on in order to ensure an integrated and efficient operation.

The brief profiles of the new managers

Mr. ZoltánRadnóty (37) received his degrees at the Budapest College of Finance and Accounting and at Buckinghamshire College and an MBA degree at Brunel University. Between 1990 and 1994, he was responsible for the capital market transactions of CIB Group companies, and was later appointed CEO of Raiffeisen Értékpapír és Befektetési Rt. from 1994 to 2002. As Assistant CEO of the Corvinus Nemzetközi Befektetési Rt., he was primarily concerned with joint investments with Hungarian companies outside Hungary, portfolio management and consulting between 2003 and 2006. Until recently, he was on the Board of Directors of various companies operating in the region besides Synergon (Silkem d.o.o - Slovenia; Balneoclimaterica S.A. - Romania; Euromilk AS, Slovakia). The new CEO of the Synergon Group speaks English, and is married with two children.

Dr. ZsoltTóth (46) received his degrees at the Moscow University of Energetics and the Budapest University of Engineering; later, he obtained a PhD in the IT field at the latter institution. Mr. Tóth started his career at the Paks Nuclear Power Station in 1984; he left that company in 1997 as Head of the IT Department to join Andersen Consulting. He held senior IT offices at the Hungarian operating companies of GE from 1999 (1999-2001: GE Lighting Europe, 2001-2003: GE Capital Budapest Bank), and was awarded the title 'Chief Information Officer of the Year' by the Association of Chief Information Officers as the CIO of GE's European Operations Services between 2003 and 2004. He was Managing Director of Transcom Hungary Ltd. before being appointed General Manager of Synergon Information Systems plc. Mr. Tóth speaks English and Russian, and is married with two children.
